Terms of Service
These Terms of Service (“Terms”) govern your access to and use of compounded.app and the Compounded platform, including pharmacy portals hosted on compounded.app subdomains (the “Service”), provided by Compounded Technologies (“Compounded,” “we,” “us”). By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree to them on that organization’s behalf and confirm you have authority to do so.
The Service
Compounded provides software that lets compounding pharmacies (“Pharmacies”) offer products to partner clinics and prescribers (“Clinics”), receive prescriptions, and share order status and shipping information. A Pharmacy may also have a separate written agreement with us, which controls if it conflicts with these Terms.
Not a pharmacy or medical provider
Compounded is a technology provider. We do not practice pharmacy or medicine, dispense medications, or give medical advice. Pharmacies are solely responsible for reviewing, compounding, dispensing and shipping prescriptions, and for the products they list. Prescribers are solely responsible for their clinical decisions and for the accuracy of the prescriptions they submit. Each user is responsible for complying with the laws and professional rules that apply to them.
Accounts
- You must provide accurate information and keep it current.
- You are responsible for keeping your login credentials secure and for activity under your account. Don’t share accounts.
- Pharmacies are responsible for the users they invite and the access they grant to Clinics.
- Tell us right away at info@compounded.app if you believe your account has been compromised.
Health information
Where the Service is used to handle protected health information, Compounded acts as a business associate under HIPAA, and the business associate agreement between Compounded and the Pharmacy governs that information. Users must enter only the information needed to process prescriptions and must have any authorizations required by law to share it.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, including submitting fraudulent or unauthorized prescriptions.
- Access or attempt to access data belonging to another Pharmacy, Clinic or user without authorization.
- Interfere with, disrupt, probe or overload the Service or its security measures.
- Reverse engineer, copy or resell the Service, except as the law expressly allows.
- Upload malicious code or content that infringes others’ rights.
Your content
Pharmacies and Clinics keep ownership of the information they enter into the Service. You give us permission to host, process and display that information only as needed to provide, secure and support the Service, and as described in our Privacy Policy.
Our property
The Service, including its software, design and branding, belongs to Compounded and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback, we may use it without obligation to you.
Fees
Pricing for Pharmacies will be set out in an order form or separate agreement. We will not charge you for any paid plan without your agreement.
Availability and changes
We work to keep the Service available and reliable, but it may occasionally be interrupted for maintenance, updates or reasons outside our control. We may add, change or remove features over time and will give reasonable notice of changes that materially reduce functionality.
Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you breach these Terms, if required by law, or if your use creates a security or legal risk. When a Pharmacy’s account ends, we will make its data available for export for a reasonable period, and then delete or return it as described in our agreements and as required by law.
Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be error-free or uninterrupted.
Limitation of liability
To the fullest extent permitted by law, Compounded will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars if you paid nothing.
Indemnity
You agree to defend and indemnify Compounded against claims arising from your misuse of the Service, your violation of these Terms or applicable law, or the clinical or pharmacy services you provide.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Fort Worth, Texas, and you consent to their jurisdiction.
Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page with an updated effective date and, for material changes, notify account holders in advance. Continuing to use the Service after changes take effect means you accept them.
